These Terms and Conditions ("Terms") govern your use of the APS Terminal website and services. By accessing our website or engaging our services, you agree to be bound by these Terms.
Services
APS Terminal provides digital services including web development, app development, digital marketing, and SEO optimization. The specific scope, deliverables, and timeline for each project will be agreed upon in writing before work begins.
Project Agreement
Before commencing any project, both parties will agree on:
- Detailed project scope and requirements
- Deliverables and milestones
- Timeline and deadlines
- Pricing and payment schedule
- Number of revision rounds included
Payment Terms
- All prices are quoted in Indian Rupees (INR) unless otherwise specified
- Standard payment schedule: 50% advance, 50% upon completion
- For larger projects, milestone-based payment schedules may be arranged
- Payment is due within 7 days of invoice date
- Late payments may incur a charge of 1.5% per month
- Work will be paused on accounts with outstanding payments
Intellectual Property
- Upon full payment, all custom code and designs created for your project are transferred to you
- Third-party components (fonts, libraries, stock images) are subject to their respective licenses
- APS Terminal reserves the right to showcase completed projects in our portfolio unless otherwise agreed
- Pre-existing intellectual property of either party remains with the original owner
Client Responsibilities
The client agrees to:
- Provide all necessary content, images, and information in a timely manner
- Provide feedback and approvals within agreed timelines
- Designate a single point of contact for the project
- Ensure all provided content does not violate third-party rights
Revisions & Changes
- Each package includes a specified number of revision rounds
- Additional revisions beyond the included rounds will be billed separately
- Major scope changes after project approval may require a revised quote
- Changes requested after project completion are subject to additional charges
Warranties & Disclaimers
- We warrant that our work will be of professional quality and free from defects
- We do not guarantee specific SEO rankings, traffic numbers, or business results
- SEO and marketing services involve variables beyond our control
- Websites are tested on modern browsers; legacy browser support requires separate agreement
Limitation of Liability
APS Terminal's total liability for any claim arising from our services shall not exceed the total amount paid by the client for the specific project in question. We are not liable for indirect, incidental, or consequential damages.
Termination
- Either party may terminate a project with 14 days written notice
- Upon termination, the client is responsible for payment of all completed work
- Advance payments are non-refundable for work already completed
- All client materials will be returned upon request
Confidentiality
Both parties agree to keep confidential any proprietary information shared during the course of the project. This obligation survives the termination of the agreement.
Governing Law
These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of courts in Varanasi, Uttar Pradesh.
